Abstract: Liberalizzazione del mercato elettrico e consorzi di acquisto (di Luigi Napolano e Giacomo Vaciago) - ABSTRACT: The Italian electricity sector is undergoing a process of liberalization, following the EU directive. The Decree Law is unique in allowing small and medium enterprises (SMES) to access the market through ?electricity purchase consortia?, instead of directly. Two questions arise: first, what is the impact of the ?consortia? on the liberalization process, in terms of transaction costs? Secondly, are they just an obstacle for SMES, or do they gain the firms specific advantages? It is possible to answer these questions by reviewing the activities that the subjects forming a consortium must undertake, and classifying their experiences on the basis of the promoter?s role. The conclusion is that the direct access to the market is better than the consortia, as it reduces transaction costs and it accelerates the liberalization process.

Abstract: La regolamentazione del lobbying parlamentare: esperienze straniere e prospettive per l?Italia (di Silvia Fedeli e Maria Fabiana Viola) - ABSTRACT: This article analyses how the issue of regulating parliamentary lobbying has been afforded in different countries. Two broad approaches emerge: (i) in the US, here lobbying is a recognised constitutional right, the recent regulation mainly provides for the disclosure of lobbying activities to influence the public decision-making process. This is pursued by means of a strict assessment of the interest groups? activities with both the legislative and executive branches of the Federal Government; (ii) in Europe lobbying has been associated to corruption of public officials. As a consequence, lobbying regulation has been intended mainly as the means for preventing corruption originated by the activities of pressure groups. This, in turn, requires auditing of the receptors of such activities. We point out the advantages and isadvantages of the mentioned approaches on which basis we analyse the different ?attempts? to regulating parliamentary lobbying in Italy.

Abstract: La riforma delle fondazioni bancarie: alcuni profili civilistici e fiscali (di Amalia Lulli) - ABSTRACT: The nature and the role of the banking foundations in Italy have been recently outlined by the law dated 15th of May 1999 n. 153, which might be considered the final phase, at least so far, of a long lasting process started in the early 1990s with the reform of the public banking system. The aim of the law is to qualify these entities as "non profit organisations", whose activities are predominantly focused on sectors of public interest such as the scientific research, the education, the health and welfare services.Therefore the foundations are requested to dismiss the ownership of the banks in order to play a more active role in the socalled "third sector", according to the Anglo-Saxon model of the "grant-making foundations". These are the principles that inspired the legislator in setting out the guidelines to be followed in the drafting of the new statutes and in making up the whole organisational structure. The compliance with the new
rules allows the banking foundations to benefit from the more favourable taxation system granted by the Italian law to the non profit entities.
